Terms that apply to inquiries, orders and services with GIC Supply, LLC.

Scope and acceptance
These Terms of Service apply to your use of gicsupply.org and to sales of industrial parts and equipment, aftermarket components and replacement parts, custom manufacturing, and equipment rebuilding services by GIC SUPPLY, LLC ("GIC Supply, LLC", "we", "us"). By using this website or placing an order, you agree to these terms. A written quote, purchase order acknowledgment or invoice may add terms specific to your transaction; if they conflict with these terms, the written quote or invoice terms we have agreed to in writing apply to that transaction.
Product inquiries and website content
Information on this website, including product categories, is general and is provided for information only. It is not an offer to sell, and it is not an inventory, price or compatibility list. Submitting an inquiry does not create an order or a contract. A sale or service engagement is formed only when we accept your order or you accept our written quote, as stated in the quote or order confirmation.
Quotes and pricing
Pricing is provided by quote. A quote is based on the information you give us and applies to the items or services described in it. Quotes are valid for the period stated on the quote. Unless the quote says otherwise, prices exclude applicable taxes, shipping and handling. We may correct errors in a quote or invoice.
Customer specifications and suitability
You are responsible for the accuracy and completeness of the information, drawings, samples, part numbers and equipment details you give us, and for confirming that a part, component or service is suitable and compatible for your machinery and intended use. Manufacturer names and part numbers are used only to identify the part requested. Aftermarket components are not original equipment from the machine manufacturer unless a quote expressly says so, and no manufacturer affiliation or authorized-dealer status is implied by this website.
Product availability
Availability changes and is confirmed in the quote or order confirmation. If an item becomes unavailable, we will contact you to discuss alternatives, a revised quote, or cancellation of the affected item.
Purchase orders
Where you use a purchase order, it should reference our quote. A purchase order is accepted only when we confirm it in writing. Pre-printed or additional terms on a purchase order do not apply unless we agree to them in writing.
Invoices, payment, deposits and advance payments
Orders are generally invoiced, and payment is due as stated on the quote or invoice. Where applicable — for example, for special-order items, custom manufacturing or rebuilding services — a deposit or advance payment may be required before work or ordering begins, as stated on the quote. Unpaid amounts may be subject to late charges where stated on the invoice and permitted by law. We may delay or suspend an order or service while an invoice is overdue.
Order changes and cancellations
Requests to change or cancel an order must be sent to us in writing and are effective only when we confirm them. Special-order items, custom-made items and work already in progress may not be changeable or cancellable, and you may be responsible for costs already incurred.
Shipping and delivery
Where shipping applies, the method, charges and delivery terms are stated on the quote or invoice. Shipping and delivery dates are estimates unless we agree otherwise in writing, and we are not responsible for delays outside our reasonable control, including carrier delays.
Receiving and inspection
Please inspect each shipment promptly on receipt and compare it to your order. Report visible damage, shortages or discrepancies to us promptly after delivery and within any time stated on the quote or invoice, and keep the items and packaging for review. Failure to report within that time may affect your ability to claim an adjustment.
Custom-made items and rebuilding services
Custom-made items. Items made to your requirements are produced based on the specifications, samples or drawings you provide, and the scope, pricing, timing and terms are as stated in the accepted quote. Because they are made specifically for you, custom-made items are generally not returnable, except as required by law or as agreed in writing.
Rebuilding services. The scope of a rebuilding project is defined in the accepted quote. Conditions found once work begins may require changes to the scope, timing or price, which we will discuss with you before proceeding. You are responsible for ensuring that equipment provided to us is safe to handle and free of hazardous residues, and for any required removal, installation and recommissioning at your facility unless the quote says otherwise.
Returns
Where returns are available, you must request and receive our written approval before sending anything back. Returned standard items must generally be unused, uninstalled and in their original condition, and return shipping charges or other fees may apply as stated on the quote or invoice. Special-order, custom-made, modified, installed or electronic items may not be eligible for return unless defective or otherwise agreed in writing.
Warranties
Manufacturer warranties apply only where actually provided by the manufacturer, and are administered under the manufacturer's terms. Unless we expressly state a warranty in writing on a quote, order confirmation or invoice, products and services are provided without a warranty from us. TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of liability
TO THE EXTENT PERMITTED BY LAW, GIC SUPPLY, LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST PRODUCTION, DOWNTIME OR LOST PRODUCT, ARISING FROM THE PRODUCTS, SERVICES OR WEBSITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO A SPECIFIC ORDER OR SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE ITEM OR SERVICE THAT GAVE RISE TO THE CLAIM. Nothing in these terms limits liability that cannot be limited under applicable law.
Safe use and compliance
You are responsible for the safe installation, operation and maintenance of equipment and components, for following applicable safety, sanitation and food-safety requirements, and for qualified personnel performing any installation.
Website use and content
The content, logo and design of this website belong to GIC SUPPLY, LLC or its licensors, and may not be copied or reused without permission. You agree not to misuse the website or attempt to interfere with its operation.
Governing law
These terms, and any dispute relating to them, to our products or services, or to this website, are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules.
General
If any part of these terms is found unenforceable, the rest remains in effect. We may update these terms from time to time; the date at the top of this page shows the latest version, and the version in effect when you place an order applies to that order.
